The following discussion is a summary of some of the principal risk factors involved in using the Predator Pro software. This discussion does not contain a complete description of all of the risk factors involved in such trading activities.

Predator Pro, the Predator Pro software suite, and any related software by Morpheus Systems LLC, one of it’s affiliates, or any software provider is for informational purposes only and intended as a decision support tool only. Neither Predator Pro or Morpheus Systems LLC makes any guarantee as to the reliability of the software nor the accuracy of the information it provides. Predator Pro and Morpheus Systems LLC are NOT registered broker/dealers, they do not accept funds in any way intended as trading capital, the only funds accepted are for subscription revenues to an informational piece of software. The software may crash, may send orders that are completely wrong and cause the trader to lose money, which just adds to the risks that the trader must consider before downloading and using the software.

Trading securities involves Substantial risk. Day trading and other short term trading strategies are extremely risky. A person utilizing Predator Pro or any trading software should be prepared to lose all of his money used for trading and possibly more. Trading on margin or with professional leverage can result in trading losses far in excess of the amount of capital in a trader’s trading account or sub-account or the amount of capital designated to a backed trader’s trading account or sub-account. A decline in the value of the securities that a member purchases may require the trader to provide additional funds to his trading firm to avoid the forced sale of his positions. Short selling as a part of a trader’s trading strategy also may lead to extraordinary losses because the trader may have to purchase a stock at a very high price in order to cover a short position. This risk is greatest in volatile markets. Before you decide to become a subscriber of Predator Pro and use the software, you must carefully consider whether such trading activities are suitable for you in light of your trading experience and personal financial circumstances.

The securities markets are extremely efficient and competitive. Successful trading with Predator Pro requires skill and discipline, as well as experience and knowledge of capital markets. There is no guarantee that a trader will be successful implementing his trading and investment strategy. A substantial percentage of day traders are not successful.

Many of the traders trading activities that use Predator Pro are leveraged. The use of margin leverage, which is a form of borrowing, exaggerates the effect of trading gains and losses. A relatively small price movement in an unfavorable direction in a trader’s position can result in substantial losses if the trader’s position is highly leveraged. Our subscribers also typically engage in a high volume of trading activity. Each trade costs the trader initiating the trade a commission and clearing charge to whatever firm he traders with. Regardless of whether a trader’s trading strategy is successful, the trader may be responsible for the costs and expenses associated with his trading activities, including brokerage commissions and clearing charges. Predator Pro or Morpheus Systems LLC are not responsible for any of these charges, or any losses as a result of any activity by or with the use of the Predator Pro suite of software.

There is a risk of operational problems occurring in connection with the execution systems and other electronic equipment utilized by the users of the Predator Pro and the risk of other mechanical and system failures, both within the software and without (including the trader's brokerage and/or clearing firm, and the execution and quotation systems included as part of the services provided to the traders and of the national securities exchanges), which are unrelated to market conditions, and which are beyond the control of Morpheus Systems LLC or Predator Pro. A trader may incur losses resulting from such failures for which the trader will not have any recourse against Predator Pro, Morpheus Systems LLC, or third parties.
